Terms & Conditions
Welcome to the Osome Website / Application. These T&Cs regulate your use of our site www.osome.com and/or our app. Please read them carefully before continuing to use our site and/or downloading our app.
1.Acceptance and Agreement (Consent & Scope)
Parties: "Osome UAE," "We," "Our," or "Us" refers to the Osome group entity operating in the UAE, whose registered details are available on your invoice/Service Contract and Our Site. "You/Your" refers to the natural person using the Osome Site (www.osome.com) and/or downloading the Osome App (collectively, the “Online Tools”), either individually or on behalf of a company they are authorized to represent.
Acceptance: By continuing to use the Online Tools, You confirm that You have read, understood, and agreed to these T&Cs. If you do not agree to these T&Cs, we do not intend for you to access Our Online Tools or any content and/or Services offered therein.
Legal Validity (UAE ETTS Law): You acknowledge that electronic consents, notices, and agreements made with Us are valid under theUAE Electronic Transactions & Trust Services Law (ETTS).
Policy Integration (UAE PDPL): Your acceptance of these T&Cs also constitutes acceptance of the Osome Privacy Policy (UAE), which is aligned with the UAE Personal Data Protection Law (PDPL, Federal Decree-Law 45/2021).
2.Right to Use and Restrictions
Limited License: Subject to Your ongoing compliance to these T&C’s, We grant You a revocable, royalty-free, non-exclusive, non-transferable license to Use the Online Tools and associated content strictly for Your business purposes and/or personal use in order to utilize the Services.
If You download Our App, You may Use it on a device You own/control, subject to these T&Cs and app-store rules.2.1.2. The right to Use starts on first log-in and ends per these T&Cs.2.1.3. Breach of these T&Cs immediately ends Your right to Use.
Prohibited Uses (Protection of Osome IPR and Integrity):
You must not, and shall not permit any third party to:
Reproduce, modify, copy, resell, trade, lease, rent, distribute, or create derivative works of the Online Tools or associated content without Our prior written approval.
Decompile, disassemble, or reverse engineer the Online Tools or any part thereof, or otherwise attempt to discover the source code or structural framework.
Make the Online Tools available on any file-sharing or application hosting service, or use them to provide service bureau, timesharing, or outsourced services.
Use the Online Tools to build a similar or competitive product or service. e. Gain or attempt to gain unauthorized access to Our systems or networks.
Upload, post, or transmit any content that: i. Is illegal, fraudulent, defamatory, obscene, threatening, abusive, or otherwise objectionable. ii. Infringes upon the intellectual property rights of others. iii. Contains any virus, Trojan horse, worm, or other disruptive or harmful software or data (a “Virus”).
Use any software, hardware, or services that bypass any license restrictions or reduce the number of user licenses required (e.g., "multiplexing" or "pooling").
Authorized Users: If You invite Authorized Users (employees/advisors/vendors), You are fully responsible for all actions taken by these users, the administration of their permissions and must ensure that they comply with these T&Cs.
3.User Accounts and Regulatory Compliance (KYC/AML)
Account Requirements: To access or purchase Services, You must register a User Account. You must be at least 18 years of age.
Accurate Information (KYC/AML): You must provide and continually maintain accurate and complete Account Information—including verified government-issued ID, name, address, payment details, etc. as required under UAE AML laws. Failure to do so may result in termination of service and access. Reviews may trigger additional verification requests.
Security: You are responsible for maintaining the security and secrecy of Your credentials and all activities occurring under Your account, unless You can evidence unauthorized use. You must notify Us immediately of any known security breach. Do not authorise Third Parties to use Your account; do not transfer it. We may provide configurable, non-guaranteed online/account alerts (e.g., billing/feature notices). Ensure Your contact details remain current.
User’s Obligation to Inform of Changes: Users agree to promptly inform us of any material changes in ownership, business activity, contact details, or identity information relevant to their account.
Sanctions and Prohibited Activities: Accounts linked to sanctioned jurisdictions or individuals, as determined by UAE or international authorities, may be restricted, reported or terminated without prior notice
4.Purchasing Services and Financial Terms
Contract Priority:While these T&Cs govern the Use of the Online Tools, each paid Service is governed by a separate Service Contract/Order. In the event of a conflict, the Service Contract prevails.
Subscriptions and Fees: Subscriptions automatically renew for the stated term unless cancelled according to the Service Contract terms. We may update fees or introduce new charges with reasonable notice (via email or Online Tools), and continue to Use paid features after such notice. If no instruction has been received after the change in fees or new charges within the reasonable time period mentioned then, we shall constitute non-response as Your acceptance.
VAT Compliance: Prices are generally exclusive of VAT unless otherwise stated. VAT applies where applicable under UAE law and will be invoiced in accordance with UAE VAT law.
Third-Party Payments: If a payment processor is utilized (e.g., Stripe), You agree to that processor’s applicable terms as a condition of using paid features. We may share relevant transaction data to enable processing.
Refunds: If your Order is cancelled (whether by you or us), each party should have at least one month's notice and you may be required to pay any subscription fees already incurred and/or any charges for preparatory work that we have undertaken where we have reasonably incurred costs. Where we have taken payment any such refundable sums will be refunded to you as soon as possible and in any event within 30 calendar days after notice period. Any refunds due will be made using the same payment method that you used when ordering the Services. Non-refundable sums like paid government fees shall not be refunded under any circumstances.
5.Data Processing, Privacy and Integrations
Lawful Basis for Processing: We process personal data only when We have a lawful basis as recognized under the Personal Data Protection Law (PDPL), such as Contract (to deliver services), Legal Obligation (tax, accounting, AML/KYC), or Consent (e.g., for marketing or connecting an integration).
Transparency and Data Minimization: We collect only the data needed for specified purposes (e.g., Identity, Contact, Business Profile, Billing, and Account/Usage data). We are transparent about what data We process, why, who it’s shared with, and transfer protections.
Consent for Integrations: If You connect optional integrations (e.g., bank feeds, commerce platforms), this relies on Your Consent. You authorize Us (or Our integrator) as Your agent, solely to securely access and retrieve the data necessary such as financial transactions, to deliver the requested Service, and You confirm You have the right to grant such access. You may disconnect integrations at any time.
Data Sharing: We share data only with necessary parties, including service providers (processors), professional advisors, and authorities where required by law, under appropriate confidentiality and data-protection terms. We do not sell personal data.
International Transfers: We may transfer data outside the UAE using safeguards required by PDPL, such as: transferring to jurisdictions deemed adequate by the UAE Data Office; using contractual safeguards; or relying on explicit consent or other PDPL-recognized derogations.
Marketing: Product news or offers are sent only with Your consent or where otherwise lawful. You can opt-out at any time via the email footer or by contacting us. UAE consumer protection rules prohibit misuse of consumer data for unsolicited marketing.
Ownership and Portability of Your Data: As between Us and You, all title and intellectual property rights in and to the data You submit to the Services (“Customer Data”) is owned exclusively by You. We do not claim any ownership rights over Your Customer Data. b. License to Us: You grant Us a worldwide, royalty-free, non-exclusive license to host, use, copy, transmit, and display Your Customer Data as reasonably necessary for Us to provide, maintain, and improve the Services in accordance with these T&Cs and Our Privacy Policy. c. Data Retrieval Upon Termination: Upon termination of Your paid Services, You will have a period of thirty (30) days to access Your User Account and export Your Customer Data (the “Post-Termination Period”). We will provide reasonable assistance and support for data export in a standard, open format such as CSV or XML. Following the Post-Termination Period, We may deactivate the account and delete any Customer Data therein, subject to Our data retention policies required for legal and regulatory compliance. You are responsible for maintaining your own copies of all Customer Data
6.Intellectual Property Rights (IPR)
Ownership: The Online Tools and all associated rights and IPR (patents, copyrights, trade marks, logos, etc.) are the property of Osome. No rights are granted other than the limited license in Clause 2.1.
Protection: Our content and functionality are protected by UAE and international IP laws.
Do not upload/post content that infringes, is malicious (e.g., malware/spam/crawlers), or overloads/disrupts Our infrastructure.
Feedback: If You provide Us with any feedback, suggestions, or ideas related to the Online Tools or Services ("Feedback"), You grant Us a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use, modify, distribute, and incorporate such Feedback into Our services, products, advertising, or marketing materials in any way, without any obligation, attribution, or compensation to You
7.Disclaimers, Warranties, and Advice
You warrant: Account Information is accurate; You will not misuse Our IPR; and You will comply with these T&Cs.
The Online Tools/Services are provided “as is” and “as available.” To the maximum extent permitted by law, and except for any express warranties provided herein, we disclaim all other warranties, conditions, and representations, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services are secure or free from bugs, viruses, interruption, or errors. Some jurisdictions may not allow the exclusion of certain implied warranties. Accordingly, to the extent that any non-excludable guarantees provided by law apply, our liability is limited, at our option, to replacing or paying the cost of replacing the relevant service.
We do not provide legal, tax or investment advice; You should consult Your advisors before acting on information accessible through the Service.
To the fullest extent permitted by law, all express or implied warranties are disclaimed.
8.Limitation of Liability and Indemnity
Liability Cap: Our maximum total aggregate liability under these T&Cs is strictly limited to AED 800 (or the amount specified in Your Service Contract, if different).
Exclusion of Damages: To the maximum extent permitted by applicable law, in no event shall we or our affiliates be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, or for business interruption, or costs of substitute services, however caused, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages. We are also not liable for delays or failures caused by internet/communications issues or events beyond Our reasonable control (Force Majeure Events).
Consumer Rights: Nothing in these T&Cs limits consumer rights that cannot be excluded under UAE consumer protection and e-commerce law.
Indemnity: You agree to indemnify Us (including affiliates, employees, and directors) against any claims or losses arising from Your breach of these T&Cs or from information You submit via the Online Tools.
9.Security, Termination, and Governing Law
Cyber Security and UAE Cybercrime Law: We do not guarantee the Online Tools are free from Viruses. You must not introduce malware, attempt unauthorized access to Our systems, or conduct denial-of-service or other cyber-attacks. Breaches may constitute offenses under UAE cybercrime law and can be reported to authorities, leading to immediate cessation of Your right to Use the Online Tools.
Data Security and Breach Notification: We use industry-standard technical and organizational measures (e.g., encryption, access controls, backups) to secure personal data. We comply with PDPL requirements regarding securing data and notifying the competent authority and potentially individuals of certain breaches.
Termination: We may suspend or terminate Your User Account (with or without prior notice) due to breaches of these T&Cs, unlawful conduct, regulatory non-compliance, or risk to the platform. Upon termination, all rights cease, and You must remove the App and destroy copies.
Governing Law and Jurisdiction: These T&Cs are governed by the laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE (or the forum specified in Your Service Contract, e.g., DIFC/ADGM).
Changes to Terms: We may revise these T&Cs or the Privacy Policy to reflect changes in law or our practices. Updates will be posted, and Your continued Use constitutes acceptance of the updated terms.
10.Network access and devices
You are responsible for: data network access, fees/charges, and compatible hardware/devices.
11.Online tool content
We may update the Online Tools and the Services they expose.
Some content may become out of date; We take reasonable steps to update.
Apple, Google, Microsoft, BlackBerry or Amazon have no responsibilities to You regarding Our App and provide no maintenance or support for it.
12.Promotions
Promotions/discounts/referrals are subject to posted rules. We may limit, modify or end Promotions. Promotions cannot be combined unless expressly permitted.
13.General provisions
Do not publicly refer to Us or Our licensors without consent.
Both parties shall comply with applicable UAE law, including: PDPL (privacy), Modern Technology-based Trade (e-commerce), and Electronic Transactions & Trust Services (validity of e-signatures/records).
We may modify, suspend or terminate operation of or access to the Online Tools/Services.
Neither party is liable for delay/non-performance caused by a Force Majeure Event.
These T&Cs constitute the entire agreement on Online Tool Use.
You may not assign/novate these T&Cs without Our written consent; We may assign to an affiliate/third party.
No failure or delay to exercise rights is a waiver; waivers must be in writing.
If any provision is invalid/illegal/void, it will be modified to the minimum extent necessary or deemed deleted; the remainder stays in force.
Parties are independent contractors; no agency/employment/franchise/joint venture is created.
(Governing Law & Forum.)These T&Cs are governed by the laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE (or the forum specified in Your Service Contract, e.g., DIFC/ADGM/DIAC). Electronic records/signatures are legally valid in the UAE.
14.Definitions
“Account Information” means information You provide to register for a User Account, which may include: identification document; full name; address; email; mobile number; birthdate; payment method details; and any other information We may reasonably request (including to meet UAE KYC/AML requirements).
“Force Majeure Event” means any unforeseeable event beyond a party’s reasonable control preventing or delaying performance (e.g., acts of God, civil unrest, regulatory action, widespread outages).
“IPR” means patents, inventions, copyrights, moral rights, design rights, trade marks/names, service marks/names, brands, logos, trade secrets, know-how, domain names, database rights and other intellectual property/proprietary rights (registered or unregistered, electronic or otherwise) and related applications/registrations.
“Marks” means company, product and service names, trade marks, service marks, designs and logos.
“Online Tools” means Our Site and/or Our App.
“Our App” means the Osome application downloadable via relevant app stores.
“Our Site” means the website at https://osome.com/ae/.
“Privacy Policy” means Our privacy & cookie policy applicable in the UAE, available via Our Site footer (“Privacy”), and aligned with PDPL.
“Service Contract” means the contract You enter into with Us to purchase Services.
“Services” means services We may offer via Our Site/App (e.g., bookkeeping/accounting/secretarial/incorporation support in the UAE), provided in accordance with UAE e-commerce and other applicable laws.
“T&Cs” means these terms and conditions.
“Third Party” means a natural person or legal entity who is neither You nor Us.
“Use” means downloading, accessing, browsing, viewing, registering to use, or otherwise utilising the Online Tools.
“User” means any person who has downloaded Our App and/or visited Our Site or the legal entity they represent.
“User Account” means the personal user account You register with Us via the Online Tools.
“Virus” means any code (e.g., virus, worm, trojan, bot) designed to disrupt/compromise systems, networks or devices.
