Abu Dhabi Global Market (ADGM) company formation gives your business a base in an international financial centre with its own common law, regulators and courts. Before you apply, you need to know which authority licenses you and which legal form fits what you plan to do. This guide walks you through both, along with the office rules, documents and steps for ADGM company set up in 2026.
Key Takeaways
- Your activity decides your regulator. Non-financial businesses register with the Registration Authority (RA), while financial services firms need Financial Services Regulatory Authority (FSRA) approval first.
- Most founders choose one of five structures: a Special Purpose Vehicle (SPV), a foundation, a holding company, an operating company or an FSRA-regulated entity.
- Every company except an SPV must keep office space in ADGM, and the size of that space decides how many employee visas you can hold.
- You can incorporate without travelling, because registration runs online. Only people taking ADGM visas need to enter the UAE for medicals and biometrics.
What Is ADGM?
ADGM is an international financial centre and free zone in Abu Dhabi, covering Al Maryah Island and Al Reem Island. It opened in October 2015 and applies English common law directly, so your contracts and disputes follow rules that international investors already know.
Three independent authorities run it. The RA licenses and registers companies, the FSRA supervises financial services, and ADGM Courts hear disputes in English.
Like other free zones for businesses in the UAE, ADGM allows 100% foreign ownership. You can also send profits home without restriction and use the UAE's network of double tax treaties. ADGM reported 13,974 active licences and 3,986 operational entities at the end of the first half of 2026.
Is Your Business Regulated by the FSRA or the RA?
Which authority licenses you depends on what your business does. If you manage, advise on or deal in other people's money or investments, you fall under the FSRA. Almost everything else, from consulting to holding assets, sits with the RA. Settle this first, because it shapes your route, timeline and obligations.
What falls under the RA?
The RA licenses non-financial and retail businesses. That includes professional services firms, technology companies, holding companies, SPVs and foundations. Each receives a commercial licence and deals with the RA from application to renewal.
Your application is reviewed against the business activities you list, so include every activity you plan to carry out. Once registered, you file an annual return and annual accounts every year, even in a quiet year. You also tell the Registrar about changes such as new directors or a new address. Founders who set up proper bookkeeping systems early find these filings much easier.
What falls under the FSRA?
The FSRA regulates financial services. If you plan to manage funds or assets, give investment advice, broker deals, hold client assets or run a virtual asset business, you need a Financial Services Permission before you can operate.
Regulated applicants approach the FSRA first and register the company with the RA only after approval. The FSRA usually issues an in-principle approval with conditions attached, covering capital, staffing and systems. You meet those conditions before the final permission is granted, so build them into your launch plan.
Annual accounts are far easier to file when the books are kept up to date through the year. Setting up accounting services from your first month means your figures are ready for the RA, your bank and, where relevant, the FSRA.
What Entity Types Can You Register in ADGM?
ADGM offers more legal forms than most UAE free zones, including partnerships and branches of foreign companies. Most founders, though, use one of the five structures below. Choose by what the entity will do: hold assets, protect family wealth, own a group, trade, or offer financial services.
SPV
An SPV is a passive company that holds assets and keeps them apart from the risks of the wider group. You can set it up as a private company limited by shares, or as a Restricted Scope Company, which shows less information on the public register.
Most ADGM SPV needs a nexus, or link, to ADGM, the UAE or the wider Gulf Cooperation Council (GCC) region. It cannot lease an office. It uses the registered address of its Company Service Provider (CSP) instead, and ADGM regulations require a passive SPV to appoint one.
Foundation
A foundation is a legal entity with no shareholders, built to hold wealth across generations. Families use it for succession planning and asset protection, often in place of a trust.
A foundation has its own legal personality, so it can sign contracts and hold assets in its own name. A council runs it, much as a board runs a company. It can only trade as far as its purpose needs. It keeps a registered office in ADGM, either its own or a registered agent's. ADGM says setup takes about three to five days once the Registrar has everything.
Holding company
A holding company is a private company limited by shares that owns other companies. Founders use it to sit above subsidiaries in the UAE or abroad, to bring ownership under one roof, or to get ready for outside investment.
Unlike an SPV, a holding company leases space in ADGM, so it can employ people. Choose it if your group needs management, treasury or governance work done in Abu Dhabi. A holding company is still a taxable person under Corporate Tax in the UAE, so its records need to support every position it takes.
An SPV is well suited to passively holding assets and ring-fencing risk, with a relatively streamlined compliance structure. If your group needs to employ staff or conduct day-to-day business operations in Abu Dhabi, a holding or operating company may be more appropriate. The right structure depends on your activities and the applicable ADGM and UAE Corporate Tax requirements
Senior Accountant
Operating company
An operating company is a private company limited by shares that trades, serves clients or builds products from ADGM. It leases office space, holds a commercial licence for its activities and can sponsor employee visas.
Technology startups can apply for an incentivised version, the Tech Startup Licence. It covers up to five years of early operations in two stages, Seed and Emergent. It does not cover regulated financial services, consumer retail or manufacturing.
The licence is open to founders of any nationality. You need an approval letter from Hub71, Abu Dhabi's tech ecosystem, and a signatory who lives in the UAE. Indian founders can explore one route into Hub71 through the UAE-India Start-Up Series.
FSRA-regulated entity
A regulated entity holds a Financial Services Permission from the FSRA. Fund managers, asset managers, brokers, custodians and virtual asset service providers all sit in this group.
These firms carry the heaviest obligations in ADGM. They must meet FSRA capital rules, appoint approved people to key roles, and run compliance and anti-money laundering systems from the first day. In return, regulated status is what institutional investors and banks look for. ADGM had 392 financial services entities at the end of the first half of 2026, up 27% on the year before.
Do You Need a Physical Office in ADGM?
Yes, for every company except an SPV. A company must keep a physical office address in ADGM for as long as it holds a licence. An SPV uses its CSP's address, and a foundation can use its registered agent's address. SPVs and foundations may have different registered-office arrangements, depending on their structure and applicable requirements.
Your space also decides your visa quota. ADGM looks at each case, but these ratios are typical:
- Tech Startup Licence: up to 3 visas per leased dedicated desk
- Other operating companies: up to 2 visas per dedicated desk, or 1 visa per 8 square metres of office space
A Tech Startup needs at least one dedicated desk or office, backed by a signed lease or membership agreement. Hot desks do not qualify.
Plan your first-year hires before you sign a lease. If you expect to sponsor four people, one dedicated desk will not cover them. Sizing your business setup correctly at the start saves you amending the lease and your visa quota later.
How Does ADGM Registration Actually Work?
ADGM company set up runs online. You apply through ADGM's Online Registry Solution, while visas and government services go through the ACCESSADGM portal. You can incorporate without travelling to Abu Dhabi. Anyone taking an ADGM visa will need to enter the UAE for a medical test and biometrics.
What documents do you need?
Have these ready before you start, because complete documents keep the review moving.
Category | What to prepare |
|---|---|
| Company name and activity | Three preferred company names, and the list of business activities for the licence |
| Shareholder documents | Scanned passport, recent passport-sized photo, UAE visa and Emirates ID if you have them, and proof of address, such as a utility bill or bank statement dated within the last three months |
| Personal details | Email address, home country phone number, and UAE phone number if you have one |
You also confirm each shareholder's percentage when you submit. All documents must be in English, or in English and Arabic.
What are the steps to register?
Once your documents are ready, setup moves through six stages:
- Document submission: You submit the Know Your Customer (KYC) documents, name options and shareholding percentages.
- Application review: ADGM reviews the licence application. Digital KYC checks follow, and shareholders sign the resolution and the Memorandum of Association (MOA).
- Licence and incorporation: ADGM issues the licence and incorporation documents, and the company is ready to operate.
- Establishment card: The immigration authorities issue the card that lets the company sponsor visas.
- Visa processing: The employment contract is signed and the entry permit issued.
- Medical and Emirates ID: The visa holder enters the UAE for a medical and biometrics, then receives an Emirates ID.
Health insurance is mandatory for every visa holder. If someone has never entered the UAE before, a unique identification number (UID) has to be generated first.
When do you need a service provider?
You can apply yourself through the Online Registry Solution or ask a registered service provider to file for you. For most companies, this is your choice. Most passive SPVs must appoint a registered CSP, which manages the application and provides the registered address.
A provider also helps when your structure has extra layers, such as an FSRA application running alongside, or documents issued outside the UAE that need attesting. Whichever route you take, the company and its directors remain responsible for everything filed in their name.
Your ADGM licence does not register you for Corporate Tax. Plan your Federal Tax Authority registration as soon as the licence is issued, and line up support for corporate tax filing well before your first return falls due.
Is ADGM the Right Fit for Your Business?
ADGM suits you if your business gains something from its legal system, regulators or investor base. If you only need a licence and a bank account, a lighter free zone usually gets you the same result for less.
Business type | Authority | Typical structure | Fit |
|---|---|---|---|
| Fund and asset managers | FSRA | FSRA-regulated entity | Strong |
| Family wealth and succession | RA | Foundation or SPV | Strong |
| Group holding structures | RA | Holding company or SPV | Strong |
| Tech startups with a prototype or early traction | RA | Tech Startup Licence | Strong |
| Virtual asset businesses | FSRA | FSRA-regulated entity | Strong |
| Professional services firms | RA | Operating company | Moderate |
| Solo consultants and freelancers | RA | Operating company | Weak |
| Trading, warehousing and logistics | RA | Operating company | Weak |
A consultant serving clients abroad rarely uses what ADGM offers. If you run a trading or logistics business, a port-linked free zone is built for that work.
How Does ADGM Compare to DIFC and Cayman?
ADGM and the Dubai International Financial Centre (DIFC) are the UAE's two common law financial centres, and they rest on similar foundations. The main differences are the city, the regulator and which investor network you want to be near. The Cayman Islands is a long-established home for fund vehicles, but it gives you no operating base in the Gulf.
ADGM | DIFC | Cayman Islands | |
|---|---|---|---|
| Location | Abu Dhabi | Dubai | Caribbean, offshore |
| Legal system | English common law, applied directly | Own laws based on English common law | English common law-based |
| Financial regulator | FSRA | Dubai Financial Services Authority (DFSA) | Cayman Islands Monetary Authority (CIMA) |
| Passive holding vehicle | SPV, which uses its CSP's address | Prescribed Company, which cannot employ staff | Exempted company |
| Corporate tax | UAE Corporate Tax, with 0% on qualifying income for a Qualifying Free Zone Person | UAE Corporate Tax, with 0% on qualifying income for a Qualifying Free Zone Person | No corporate income tax |
Some fund managers use both, pairing a Cayman fund with a management company in ADGM or DIFC. Investors get a fund vehicle they know, and the manager gets a regulated base close to Gulf capital. If DIFC is on your shortlist, check whether DIFC is the right structure for your busines s.
How Osome Can Help
Picking the right ADGM structure gets you licensed. Keeping it in good standing takes steady work: yearly filings with the RA, records that support your Corporate Tax position, and accounts your bank and investors can rely on. For startups, holding structures and growing teams, this is where gaps usually appear.
Osome takes that work off your desk. A dedicated accountant handles your bookkeeping, financial statements, Value Added Tax (VAT) and Corporate Tax filing, and our software keeps every record in one place. Your filings stay ready, and your attention stays on the business.
Summary
Before you apply, write down what your ADGM entity will do in its first two years. Will it hold assets, employ people, serve clients or manage money? Your answer points to the right authority, legal form and office, and saves you restructuring later. If very little of that work will happen in Abu Dhabi, a lighter structure elsewhere may suit you better for now.
