What Is Deregistration of a Hong Kong Company?

Deregistration is the legal process for dissolving a solvent private company or a company limited by guarantee that is no longer carrying on business in Hong Kong.
To apply, the company must meet the following conditions:
- All members must agree to the deregistration.
- The company has not conducted business in the three months preceding the application.
- No outstanding liabilities exist.
- The company is not involved in any legal proceedings.
- The company does not own immovable property in Hong Kong.
- For holding companies, none of its subsidiaries hold immovable property in Hong Kong.
- A Notice of No Objection must be obtained from the Inland Revenue Department (IRD).
