What Are the Requirements and Responsibilities for Appointing a Director in Hong Kong?

Directors must be at least 18, be natural persons or companies as allowed, and are responsible for governance, compliance and acting in shareholders’ best interests. Appointment: Board resolution, signed acceptance and filing Form ND2A within 15 days. Ineligible persons include bankrupts and those convicted of indictable offences.
Director Responsibilities:
- Manage the company in the interests of all shareholders.
- Ensure compliance with laws.
- Act in good faith.
- Avoid conflicts of interest.
- Administer corporate operations.
- Maintain proper accounting records.
Appointment Process:
- The company must pass a board resolution approving the appointment.
- Obtain a signed acceptance from the director.
- Submit Form ND2A (Notice of Change of Company Secretary and Director) to the Companies Registry.
- The filing must be done within 15 days of the appointment.
