What Are the Mandatory Articles of Association for a Hong Kong Company?

Articles of Association are the company’s constitutional rules and must include certain prescribed items. They must state the company name, liability type, share capital and objects if a licensed company under section 103. The Articles govern internal governance and member rights.
Mandatory inclusions:
- Company name.
- Liability statement for members (limited, unlimited, or by guarantee).
- Share capital and initial shareholding for companies with a share capital.
- Objects of the company if incorporated with a licence under section 103.
