What Happens If My Company Is Not Active After Incorporation?

Even if your company is not trading, it still has ongoing compliance obligations after registration with Companies House.
If the company has no business activity and receives no income, it can be treated as dormant. In this case, you must notify HM Revenue & Customs that the company is dormant so that it is not required to submit Corporation Tax returns.
However, a dormant company must still meet certain filing obligations, including:
- Filing dormant annual accounts with Companies House.
- Submitting a confirmation statement each year to confirm company information.
Directors remain legally responsible for ensuring these filings are submitted on time. You can check your company’s deadlines by searching its record on the Companies House register.
